Governance & accountability

Run by by-laws, not by personality.

  • Board of 5–7 voting members (odd number); a majority must be independent. All current members are independent (unsalaried).
  • No salaries for key persons — the organization operates with volunteers and no paid staff, including board and leadership.
  • No liabilities currently; by-laws cap liabilities-to-assets at 40%.
  • Independent financial review by a respected third party per by-laws; an independent audit/review is required once annual fundraising exceeds $500k.
  • Conflict-of-interest policy: members declare conflicts; acceptance requires a unanimous vote of non-conflicted board members.
